HarryDesk Affiliate Program Operating Agreement

This Affiliate Program Operating Agreement (“Operating Agreement”) contains the terms and conditions that govern your participation in the HarryDesk Affiliate Program (the “Program”). “HarryDesk,” “we,” “us,” or “our” means HarryDesk.com. “You” or “your” means the applicant/affiliate.

1. Enrollment and Suitability

We will evaluate your application and notify you of its acceptance or rejection. We reserve the right to reject any application or terminate any existing account at any time, in our sole discretion, for any reason, including if we determine that your site or promotional methods are unsuitable for the HarryDesk brand.

2. Qualified Commissions and Payout Structure

To be eligible for a commission, the purchase must be a “Qualifying Purchase” as tracked by our software. HarryDesk operates on a multi-stage payout model:

• Job Post Commission: Earned when a referred employer pays for a job posting.
• Job Fill/Success Fee: Earned ONLY upon the verified successful completion/filling of the job, as determined solely by HarryDesk records.
• Subscription Commission: Earned on recurring monthly subscription payments for as long as the referred customer remains active and in good standing.

Condition of Payout: Commissions are only deemed “earned” once the underlying customer payment is past the refund/chargeback window and, in the case of “Job Fill” fees, once HarryDesk has verified the job is completed. We reserve the right to hold any commission for up to 90 days for verification.

3. Order Processing and Rejection

HarryDesk reserves the right to reject any order that does not comply with our marketplace requirements. If an order is cancelled, refunded, or charged back, any attributed commission will be deducted from your balance or offset against future earnings.

4. Prohibited Promotional Methods

Affiliates are strictly prohibited from:

• Coupon/Deal Sites: Posting links or codes on sites categorized by HarryDesk as “Coupon Sites.”
• PPC/Search Bidding: Bidding on “HarryDesk” or any variations/misspellings in Google Ads, Bing, or other search engines.
• Incentivized Traffic: Offering rebates, points, or cash-back to users for clicking your link.
• Self-Referrals: Using your own link to purchase services or post jobs for yourself or your own company.

5. Identifying Yourself as a Partner

You must clearly state on your site or social media: “[Your Name/Company] is a participant in the HarryDesk.com Affiliate Program.” You may not issue press releases or claim to be an “employee,” “representative,” or “agent” of HarryDesk.

6. Limitation of Liability and Indemnification

HarryDesk will not be liable for indirect, incidental, or consequential damages arising in connection with this agreement. Our aggregate liability will not exceed the total commissions paid to you in the six months preceding a claim. You agree to indemnify and hold HarryDesk harmless from any claims, damages, or expenses (including legal fees) resulting from your violation of these terms or your promotional activities.

7. Term and Termination

Either party may terminate this Agreement at any time, with or without cause. Upon termination, all licenses to use HarryDesk logos or content are revoked. If your account is terminated for “Cause” (fraud, spam, or violation of terms), HarryDesk reserves the right to permanently withhold all unpaid commissions.

8. Modification

HarryDesk may modify any of the terms in this Agreement at any time by posting a change notice on our site. Your continued participation in the program constitutes binding acceptance of the changes.

9. Governing Law and Jurisdiction

This Agreement is governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in .

BY REGISTERING FOR THE HARRYDESK AFFILIATE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS.
